Terms of Service for Cycle Chef

1. Acceptance of Terms

Welcome to Cycle Chef! These Terms of Service ("Terms") govern your access to and use of the Cycle Chef mobile applications (including the iOS App and any future mobile applications), our website(s) (including https://cyclechef.com and any future websites), and all related services, features, content, and applications offered by Sweet Potato LLC ("Sweet Potato," "we," "us," or "our") (collectively, the "Services"). Our address is 30 N Gould St, Ste R, Sheridan, WY 82801. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy (available at https://cyclechef.com/privacy-policy.html). If you do not agree to these Terms or the Privacy Policy, you may not access or use the Services. Please read these Terms carefully as they contain important information regarding your legal rights, remedies, and obligations.

2. Description of Services

Cycle Chef is designed to help users track their menstrual cycle and provides meal planning, recipe suggestions, and other content tailored to their cycle phase. The Services may include, but are not limited to, cycle tracking, personalized meal plans, recipe databases, practitioner-managed plans, phase guidance, and grocery list management, accessible via our various mobile and web platforms. We reserve the right to modify, suspend, or discontinue the Services (or any part or content thereof) at any time with or without notice to you.

3. User Accounts

To access certain features of the Services, you may be required to create an account. Cycle Chef may offer various methods for account creation, including but not limited to Apple Sign-In, Google Sign-In, or direct registration. You are responsible for safeguarding your account credentials (such as your Apple ID, Google account, or any other login information used to access the Services) and for any activities or actions under your account. You agree to notify us immediately at hello@cyclechef.com of any unauthorized use of your account. You must provide accurate, current, and complete information during the registration process and keep your account information up-to-date.

4. Permitted Use and Prohibited Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. Permitted Use: You may use the Services for your personal, non-commercial use, consistent with the intended features of Cycle Chef. Prohibited Conduct: You agree not to: Use the Services in any way that violates any applicable federal, state, local, or international law or regulation. Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Sweet Potato LLC or users of the Services or expose them to liability. Use the Services in any manner that could disable, overburden, damage, or impair our Site(s), App(s), or interfere with any other party's use of the Services. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services. Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services. Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server(s) on which the Services are stored, or any server, computer, or database connected to the Services. Misuse any Services to generate harmful, illegal, or inappropriate content.

5. Intellectual Property Rights

Our Intellectual Property: The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Sweet Potato LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. User Content: If you post, upload, input, provide or submit your personal data or other content to the Services ("User Content"), such as diary notes or custom recipes, you retain ownership of any intellectual property rights that you hold in that User Content. By submitting User Content, you grant Sweet Potato LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and Sweet Potato LLC's (and its successors' and affiliates') business, including for promoting and redistributing part or all of the Services. This license is solely for the purpose of operating, developing, providing, and improving the Services.

6. Disclaimers

No Medical or Nutritional Advice: THE SERVICES, INCLUDING ALL CONTENT, RECIPES, MEAL PLANS, AND PHASE GUIDANCE, ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. CYCLE CHEF IS NOT A MEDICAL DEVICE, AND THE SERVICES DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION OR DIETARY CHANGES. NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF SOMETHING YOU HAVE READ OR ACCESSED THROUGH THE SERVICES. RELIANCE ON ANY INFORMATION PROVIDED BY CYCLE CHEF IS SOLELY AT YOUR OWN RISK. Accuracy of Information: While we strive to provide accurate and up-to-date information, recipes, nutritional data, cycle predictions, and other content may contain errors, inaccuracies, or omissions. Sweet Potato LLC makes no representations or warranties about the accuracy, reliability, completeness, or timeliness of any content provided through the Services. Allergy and Dietary Disclaimer: Cycle Chef may provide features to help you manage allergies and dietary restrictions. However, you are solely responsible for verifying that any recipes, ingredients, or meal plans meet your specific dietary needs and do not contain allergens. Always double-check ingredient labels and consult with a qualified professional if you have severe allergies or dietary concerns. Sweet Potato LLC is not responsible for any adverse reactions or health issues that may result from your use of or reliance on information provided by the Services.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SWEET POTATO LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICES OR ANY MATERIALS OR CONTENT ON THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SWEET POTATO LLC HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF SWEET POTATO LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS, RELATING TO THE SERVICES WILL BE LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNTS YOU HAVE PAID TO SWEET POTATO LLC IN THE PAST TWELVE MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM (IF ANY). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless Sweet Potato LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.

9. Paid Services and Subscriptions

For the iOS application, the app license is governed by Apple’s Standard End User License Agreement. These Terms govern the related Cycle Chef services and do not override mandatory consumer rights or the terms Apple presents for an in-app purchase.

Certain features or versions of the Services require a paid subscription. Cycle Chef subscriptions may be purchased through Stripe on our website or through Apple in-app purchase where available. Website purchases do not include a free trial or delayed charge. The monthly plan charges a $29.99 USD base price now, plus applicable tax, and renews monthly until cancelled. The annual plan charges a $99 USD base price now, plus applicable tax, and renews annually until cancelled. The lifetime Founding offer charges one $299 USD base payment now, plus applicable tax, and does not renew. Fees, billing cycle, renewal terms, cancellation instructions, and any additional purchase terms are presented before payment. Your use of Paid Services is subject to these Terms and any additional terms presented at purchase.

10. Termination

Termination by You: You may terminate your account and stop using the Services at any time. You may request deletion of eligible account and associated wellness or health information using in-app account-deletion controls where available, or by contacting us at hello@cyclechef.com. Uninstalling the app does not delete your account or server records. A deletion request is not confirmation that all copies have been erased. Account deletion and subscription cancellation are separate actions; manage Apple subscriptions through your Apple account's subscription settings. Termination by Sweet Potato LLC: We may, in our sole discretion, suspend, restrict, or terminate your access to all or any part of the Services at any time, with or without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Effect of Termination: Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of, or related to, them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Wyoming, United States, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming, in each case located in Sheridan County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Changes to Terms

Sweet Potato LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. We publish revised Terms with an updated effective date. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Services. We will post the updated Terms within our App(s) and/or on our Site(s) and update the "Effective Date" at the top of these Terms.

13. Miscellaneous

Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Sweet Potato LLC regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. Waiver and Severability: No waiver by Sweet Potato LLC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Sweet Potato LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Sweet Potato LLC's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Sweet Potato LLC may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
